Offering Circulars

Each InvestArt artwork is offered through a separate Delaware series limited liability company (each, an “Issuer”) pursuant to a Regulation A, Tier 2 offering statement on SEC Form 1-A. The Offering Circular forming part of that statement is the controlling disclosure document for the Offering and supersedes any summary information presented elsewhere on this Site.
1. What is in an Offering Circular?
- Cover page with the offering size, price per share, minimum investment, and use of proceeds.
- Risk Factors specific to the artwork, the Issuer, the sponsor, and the structure.
- Plan of Distribution identifying Dalmore Group, LLC (member FINRA/SIPC) as the broker-dealer of record.
- Description of the Asset: artist, title, year, medium, dimensions, provenance, exhibition history, condition report, and authentication.
- Description of the Securities (Class A membership interests), distribution waterfall, and transfer restrictions.
- Management's Discussion and Analysis (MD&A).
- Audited financial statements of the Issuer.
- Subscription Agreement and Operating Agreement as exhibits.
2. SEC Qualification
An Offering may be commenced only after the SEC issues a notice of qualification under 17 CFR §230.252. Prior to qualification, InvestArt may "test the waters" pursuant to Rule 255; any indication of interest is non-binding and creates no obligation to buy or sell securities.
3. Where to Read the Documents
All current and historical InvestArt Offering Circulars, post-qualification supplements (Form 253(g)(2)), annual reports on Form 1-K, semi-annual reports on Form 1-SA, and current reports on Form 1-U are available free of charge on the SEC's EDGAR system:
