Terms of Use

These Terms of Use ("Terms") are a binding agreement between you and InvestArt, LLC ("InvestArt," "we," "us," or "our") and govern your access to and use of investart.com, the InvestArt mobile application, the Trading Market, and any related services (collectively, the "Site"). By accessing the Site, creating an account, or submitting an indication of interest, you accept these Terms.
1. Eligibility and Account Registration
You must be at least 18 years of age and a legal resident of a jurisdiction where InvestArt Offerings are lawfully available to register an account. You agree to provide true, accurate, and complete information during onboarding, including information required for know-your-customer ("KYC"), anti-money laundering ("AML"), accreditation verification, and FINRA / SEC suitability checks. We may refuse, suspend, or terminate any account at our sole discretion.
2. Nature of the Offerings
InvestArt issues Class A membership interests in single-purpose vehicles ("Issuers") that hold title to a specific work of art. Each series is offered pursuant to a Regulation A, Tier 2 offering statement on Form 1-A qualified by the U.S. Securities and Exchange Commission ("SEC"). The Site is not a broker-dealer, investment adviser, or alternative trading system. Securities transactions are executed through Dalmore Group, LLC, member FINRA/SIPC, or other registered intermediaries identified in the relevant Offering Circular.
3. Indications of Interest
Submission of an indication of interest is non-binding and creates no obligation to buy or sell securities. No money or other consideration is being solicited, and if sent in response will not be accepted, until the relevant offering statement is qualified by the SEC and a subscription agreement is executed.
4. Electronic Delivery and E-Sign Consent
You consent to receive all communications, agreements, disclosures, tax forms (including IRS Forms 1099 and Schedules K-1), Offering Circulars, supplements, account statements, and notices in electronic form. You may withdraw consent at any time by writing to legal@investart.com; withdrawal may result in account closure.
5. License and Permitted Use
Subject to these Terms, InvestArt grants you a limited, non-exclusive, non-transferable, revocable license to access the Site for personal, non-commercial use. You agree not to (a) reverse engineer, scrape, or systematically extract data; (b) use the Site to compete with InvestArt or its affiliates; (c) circumvent rate limits or security measures; or (d) use the Price Database for any commercial appraisal, valuation, lending, or insurance purpose without a written license.
6. Intellectual Property
All Site content — including the Price Database, research notes, performance models, the InvestArt name, the InvestArt Composite Index, and all marks and trade dress — is owned by or licensed to InvestArt and protected by U.S. and international copyright, trademark, and trade secret laws.
7. Trading Market
The InvestArt Trading Market is operated by North Capital Private Securities Corporation, a registered broker-dealer, member FINRA/SIPC. The Trading Market provides limited secondary liquidity and is not a national securities exchange or alternative trading system registered with the SEC. Bids and asks are non-binding until matched and settled. Liquidity is not guaranteed; you may be unable to sell your shares at a favorable price, or at all.
8. Risk Acknowledgement
You acknowledge that investments in fractional interests of artwork are speculative, illiquid, involve substantial risk including the risk of total loss, are not insured by the FDIC or SIPC, and do not produce current income. Past performance is not indicative of future results. You should review the "Risk Factors" section of the relevant Offering Circular before investing.
9. Disclaimers
THE SITE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, INVESTART DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
10. Limitation of Liability
To the maximum extent permitted by law, InvestArt and its affiliates, officers, directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, or goodwill, arising out of or related to your use of the Site, even if advised of the possibility of such damages. Aggregate liability will not exceed the greater of (a) US$100 or (b) the management fees actually paid by you to InvestArt Advisers in the prior twelve months.
11. Indemnification
You agree to indemnify, defend, and hold harmless InvestArt and its affiliates from and against any claim, demand, loss, or expense (including reasonable attorneys' fees) arising out of (a) your breach of these Terms, (b) your violation of law, or (c) your infringement of any third-party right.
12. Binding Arbitration; Class Action Waiver
Any dispute, claim, or controversy arising out of or relating to these Terms or the Site will be resolved exclusively by final and binding arbitration administered by JAMS pursuant to its Streamlined Arbitration Rules, before a single arbitrator, seated in New York, New York. YOU AND INVESTART AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. The Federal Arbitration Act governs the interpretation and enforcement of this section.
13. Governing Law
These Terms are governed by the laws of the State of Delaware, without regard to conflicts-of-law principles, and, where applicable, the federal securities laws of the United States.
14. Changes
We may update these Terms from time to time. The "Last updated" date above reflects the most recent revision. Continued use of the Site after changes are posted constitutes acceptance.
